SUMMARY DESCRIPTION OF CLASSIFICATION: SUMMARY DESCRIPTION OF CLASSIFICATION: Under direction of the General Counsel, the Legal Transactions Specialist provides comprehensive legal support to attorneys in the Office of the General Counsel on all matters pertaining to transactional law and policy, including contracts and land use matters. Legal support involves assisting attorneys in drafting legal documents; reviewing, analyzing and revising legal documents including, commercial contracts and amendments, service agreements, memoranda of understanding, construction contracts, easements, leases, and other related real estate matters. Facilitates communication between internal and external parties regarding legal terms and provisions in relation to statutory and regulatory requirements. Work of this class requires the incumbent to assess and determine the course of action for general, routine matters and to recommend a course of action for more complex legal matters. Incumbent produces and presents work product necessary to meet the demands and strict timelines of legal matters, which may require legal research and analysis of statutes, rules and regulations and presenting recommendations to attorneys as needed.
MINIMUM QUALIFICATION STANDARDS
KNOWLEDGE, SKILLS, AND ABILITIES: Considerable knowledge of and some experience in contractual provisions and processes, procurement, lease provisions and processes, policy development and implementation. Knowledge of governance, commercial, and contract compliance matters. Knowledge working with land use matters and demonstrated ability to draft, review, and analyze land use documents (i.e. easements, leases, construction contracts). Knowledge of municipal law, permitting, zoning codes, ordinances, and construction industry rules and regulations. Skilled in legal research, analysis, written advocacy, drafting/reviewing legal documents. Understanding of legal entities and current local, state and federal laws and the ability to understand and apply relevant laws to all aspects of the work. Familiarity with using standard online legal research sites such as WestLaw or LexisNexis and court sites such as PACER. Knowledge of Windows operating systems and Microsoft Office Suite. Ability to work effectively with others. Ability to handle highly sensitive information and maintain confidentiality. Excellent organizational skills and attention to detail. Excellent oral and written communication and human-relations skills. Knowledge of, and the ability to meet, the seven core competencies of the Supporting Services Professional Growth System.
EDUCATION, TRAINING, AND EXPERIENCE: Associates degree required. Bachelor's degree preferred. Courses in paralegal studies or pre-law from an accredited college or university, or paralegal certificate desirable. Three or more years' related law firm or in-house corporate contract and construction contracts experience, or a contract law-based discipline desirable. Three or more years of prior experience working in a law firm, clerkship, or government law office is highly preferred. Experience and ability to manage a high volume of contracts and other legal documents preferred. Experience with energy contracting, construction and/or energy design professional contracts desirable. Training, coursework, and/or experience in legal issues related to one or more of the principal legal functions of the office desired. Other combinations of applicable education, training, and experience which provide the knowledge, abilities, and skills necessary to perform effectively in the position may be considered.

EXAMPLES OF DUTIES AND RESPONSIBILITIES:

Under direction drafts and performs initial review of Memorandum of Agreements/Understanding, commercial contracts, contract termination notices, contract addendums, amendments, renewals, and license agreements.
Under direction, drafts and performs initial review of construction contracts, leases, easements, estoppel certificates, other related real estate documents, and all manner of land-related, construction and commercial agreements.
Reviews and analyzes documents and data to prepare matters for legal review by an attorney.
Conducts legal research; drafts and presents recommendations to counsel regarding relevant legal matters.
Works collaboratively with MCPS counsel to determine best course of action for case preparation.
Maintains detailed electronic records and tracking system for open and resolved matters.
Reviews and responds to inquiries from other MCPS offices.
With attorney guidance, communicates with external parties about contractual terms and provisions; Board Policy and MCPS Regulations; and applicable statutory and regulatory requirements.
Supports and participates in meetings with internal and external parties to review comments, identify areas of concern, and recommend terms.
Under direction, drafts documents and written advocacy with supporting evidence, information and data for attorney review.
Monitors relevant laws, codes and guidelines to maintain awareness and current knowledge.
Monitors and assesses matters and documents for compliance issues and alerts attorneys of potential concerns.
Displays a high degree of professionalism at all times and exercises sound judgment and decision-making skills to assist attorneys in resolving time-sensitive and complex matters.
Utilizes resources appropriately to complete work in the most efficient manner. Maintains attorney-client privileged notes regarding potential resolution and/or strategies for settling any complaints filed against MCPS.
Performs related duties consistent with the scope and intent of the position.
